Please read these Terms of Service carefully. By using the ACT Agent services, you agree to be bound by these terms. If you do not agree to these terms, please do not use our services.

1. Acceptance and Modification of Agreement

We reserve the right to add, modify, suspend, or terminate any agent service or feature at any time based on technological development, partnership adjustments, and user feedback. Since the services depend on multiple third-party technology providers, we cannot guarantee the continuous availability of any specific agent or function.

3. Account Registration and Management

3.1 Account Registration

To use full service functions, you need to register an account and provide accurate, complete, and up-to-date information. You agree to update your information promptly to maintain its accuracy.

3.2 Account Types and Billing Models

ACT Agent uses a prepaid credit system. Specific account types and billing methods are as follows:

(a) Trial Account

Function Limitations: Limited to basic function experience, some advanced agents unavailable

Fee Model: Free, with limited usage quota

Quota Limits: Typically a certain number of tokens or call counts

Validity Period: Usually 7-30 days after registration

(b) Prepaid Account (Main Account Type)

Fee Model: Prepaid credits, deducted based on actual usage

Billing Units:

Tokens Billing: Based on the number of tokens processed by large language models, different models have different prices

MCP Single Call Billing: Some functions call external services via MCP, billed per call

Agent-Specific Billing: Certain complex agent tasks have specific billing rules

Prepaid Requirements: Minimum prepaid amount as displayed on the official website, prepaid credits have no expiration date

Balance Management: Services will be suspended when account balance is insufficient until top-up

(c) Enterprise Account

Target Users: Enterprise users requiring team collaboration, unified management, and invoice reimbursement

Fee Model: Supports prepaid credits or corporate bank transfer

Additional Features: Team management, usage reports, API access, dedicated support, etc.

Contract Options: Supports annual framework agreements with volume discounts

Important Note: This service does not currently provide subscription (monthly/annual) billing models. All services are executed according to the above prepaid credit, usage-based billing method.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and bear full responsibility for all activities using your account or credentials. You agree to immediately notify us of any unauthorized use of your account or any other security breach.

3.4 Account Termination

We reserve the right to terminate or suspend your account for any reasonable reason, including but not limited to violation of these Terms, prolonged zero account balance with no active usage. Upon termination, your right to access the Services and use any services will immediately cease.

4. Usage Rules and Limitations

4.1 Acceptable Use

You agree to use the Services only for lawful purposes and comply with all applicable Chinese laws and regulations as well as laws of other relevant jurisdictions.

The ACT Agent platform architecture, agent design, user interface, and related technologies are owned or legally licensed by the Company and protected by Chinese and international intellectual property laws. Intellectual property of third-party large language models and MCP services integrated into the platform belongs to respective providers.

You retain the respective rights to the content you input, upload, submit, or generate through the Services (hereinafter "User Content"). You grant us:

6. Fees, Payment, and Billing

6.1 Billing Model

ACT Agent uses the following billing model:

Prepaid Credit System: You need to pre-deposit a certain amount into your account balance

Usage-Based Billing: Corresponding fees are deducted from the balance based on actual usage

Transparent Pricing: Billing standards for each agent, model, and MCP service are clearly displayed on the official website and usage interface

6.2 Billing Units

(a) Tokens Billing

Basic Billing Unit: Based on the total number of input and output tokens processed

Model Differences: Different large language models (e.g., GPT-4, Claude, Wenxin Yiyan, etc.) have different prices

Agent Surcharge: Some complex agent tasks may have additional processing fees

(b) MCP Call Billing

Per-Call Billing: Each call to external tools or services is billed separately

Service Differences: Different MCP services have different prices, estimated costs displayed before calling

(c) Specialized Billing

Special Tasks: Complex tasks like video generation, deep data analysis have specialized billing rules

6.3 Payment Methods

We support Alipay, WeChat Pay, bank transfers, and other payment methods. You need to ensure sufficient funds in your payment account and authorize us to deduct payments.

6.4 Invoice Issuance

Enterprise users can apply for VAT invoices. We will process them within 15 working days after receiving complete invoicing information.

6.5 Price Adjustments

We reserve the right to adjust billing prices based on third-party model costs, market conditions, and other factors. Users will be notified through appropriate means before adjustments. Prepaid balances are executed according to the price standards at the time of top-up, unless otherwise agreed.

6.6 Balance Management and Arrears Handling

7.1 Service Termination

You can stop using the Services at any time. Accounts with zero balance and no active usage for an extended period (typically 180 days) may be considered automatically abandoned.

Since services are based on multiple third-party large language models, some of your request data will be transmitted to corresponding model providers:

Since services deeply rely on third-party AI models, we do not guarantee:

As an agent scheduling platform, we are not responsible for the training data, algorithmic biases, political positions, or value orientations of any third-party models. Users should independently judge and verify the applicability of generated content.

11. Liability Limitations

In any case, our total liability to you shall not exceed the total amount you actually paid for the services causing the liability in the 12 months preceding the occurrence of liability.
